General terms and conditions · GMAPT Prozessfinanzierung & Transporte GmbH
This English version is provided for convenience. The German version is legally binding. See the German version at getränke-handel.at/agb
§ 1 Scope
These general terms and conditions apply to all orders, deliveries and services of GMAPT Prozessfinanzierung & Transporte GmbH ("we") towards entrepreneurs within the meaning of the Austrian Commercial Code. We supply business customers only; contracts with consumers are excluded. Deviating, conflicting or supplementary terms of the customer become part of the contract only with our express written consent.
§ 2 Conclusion of contract
Our offers on the website, in price lists and in other documents are non-binding. An order (verbally, by phone, by email or via the contact form) constitutes an offer by the customer; the contract is only concluded with our order confirmation or with delivery.
§ 3 Prices
All prices are in euros. Unless stated otherwise, prices include statutory VAT and exclude any delivery costs. Empties and deposits are shown separately or charged according to the applicable deposit rates. Price changes by our suppliers or by statutory levies are reserved.
§ 4 Delivery and transfer of risk
We deliver in Vienna and the surrounding area at the agreed delivery times. Stated delivery dates are non-binding unless expressly confirmed as binding. Force majeure and supply shortages of our suppliers extend the delivery time appropriately. Risk passes to the customer upon handover of the goods at the agreed place of delivery. The customer ensures a reasonable unloading facility.
§ 5 Payment
Unless otherwise agreed, invoices are due for payment without deduction within 14 days of the invoice date. In the event of late payment, the statutory default interest for entrepreneurs applies; we are entitled to claim dunning and collection costs in accordance with statutory provisions. For new customers we reserve the right to require advance payment or cash on delivery.
§ 6 Retention of title
The delivered goods remain our property until all claims arising from the business relationship have been paid in full. The customer is entitled to resell the goods in the ordinary course of business; the customer hereby assigns to us the resulting claims up to the amount of our claim.
§ 7 Warranty and notice of defects
The customer must inspect the goods immediately upon receipt. Obvious defects, incorrect or short deliveries must be reported in writing immediately, but no later than within 3 working days of receipt of the goods; hidden defects immediately upon discovery. In the event of a justified notice of defects, we will, at our discretion, provide a replacement delivery or a credit note. Further claims are excluded to the extent permitted by law. The warranty period is six months from the transfer of risk.
§ 8 Liability
We are liable only for damage caused by intent or gross negligence on our part. Liability for slight negligence, for loss of profit and for indirect damage is excluded to the extent permitted by law.
§ 9 Empties and packaging
Empties and packaging (crates, kegs, pallets) are only taken back in perfect condition. Damaged or missing empties are charged at replacement value.
§ 10 Final provisions
Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is the court competent for Vienna, to the extent permitted by law. Should individual provisions of these terms be invalid, the validity of the remaining provisions remains unaffected.
